Non-Disclosure Agreement (NDA) for Beta Testers of Colourlab Ai V3

Purpose:

The Receiving Party has expressed interest in participating as a beta tester for the Colourlab Ai V3 software ("the Software"). The Disclosing Party wishes to disclose certain confidential information regarding the Software to the Receiving Party for the purpose of beta testing. Both parties intend to protect the confidentiality of the disclosed information as provided in this Agreement.

1. Definition of Confidential Information:

For the purposes of this Agreement, "Confidential Information" shall include, but not be limited to, all information, screenshots, ideas, functionalities, and testing results related to the Software.

2. Obligations of the Receiving Party:

The Receiving Party agrees to the following terms:

• Non-Disclosure of Confidential Information: The Receiving Party shall not disclose, reproduce, distribute, or transmit the Confidential Information, in any form, to any third party without the prior written consent of the Disclosing Party.

• Non-Use: The Receiving Party shall not use the Confidential Information for any purpose other than for beta testing the Software as expressly authorized by the Disclosing Party.

• Return of Confidential Information: Upon the conclusion of the beta testing or upon the Disclosing Party's request, the Receiving Party shall return all Confidential Information and delete all electronic copies thereof.

3. Exceptions:

Confidential Information does not include information that:

• Was known to the Receiving Party prior to its disclosure;
• Is or becomes publicly known through no fault of the Receiving Party;
• Is independently developed by the Receiving Party without reference to the Confidential Information.

This Agreement shall remain in effect until public release of Colourlab Ai V3.

6. Remedies:

The Receiving Party acknowledges that the unauthorized disclosure or use of the Confidential Information may result in irreparable harm to the Disclosing Party. The Disclosing Party shall be entitled to seek injunctive relief, in addition to any other remedies available at law or in equity, to prevent such harm.

7. Governing Law:

This Agreement shall be governed by and interpreted in accordance with the laws of California, USA.

8. Entire Agreement:

This Agreement contains the entire agreement between the parties and supersedes all prior negotiations, understandings, and agreements between the parties.

Acknowledgment:

By entering name below, the Receiving Party acknowledges that they have read, understood, and agree to the terms of this Non-Disclosure Agreement.
